Terms of Service

Please read these terms and conditions ("Terms", "Terms of Service") carefully before using the Tanda application (the "Service") operated by Tanda Inc. ("us", "we", or "our").

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Non-Custodial Service & Financial Risk

You acknowledge and agree that Tanda is a non-custodial service. This means we do not have custody, control, or access over your funds or the funds of your community. We provide coordination and tracking tools only. All financial transactions, contributions, and payouts occur directly between members, off-platform.

As a non-custodial platform, Tanda is not responsible for any financial loss, theft, or disputes that may arise between members of a vault. You use the Service at your own financial risk. We do not guarantee the performance or integrity of any member within a vault.

3. User Conduct

You agree not to use the Service to:

  • Engage in any activity that is fraudulent, false, or misleading.
  • Upload, post, email, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or invasive of another's privacy.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Violate any applicable local, state, national, or international law, including, but not limited to, regulations promulgated by financial regulatory authorities.
Violation of these conduct rules may result in the suspension or termination of your account.

4. Termination and Suspension

4.1 Termination by Tanda

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

4.2 Suspension by Super Administrator

A designated super administrator of the Tanda platform has the authority to suspend your account, making it temporarily inaccessible, for violations of platform-wide rules or security concerns.

5. Account & Vault Deletion

5.1 Deletion by User

You may request the deletion of your account at any time through the "My Account" settings page. Before deletion, you will be offered the option to download your data. Account deletion is permanent and irreversible. Once your account is deleted, all your personal data will be removed, and you will be removed from all vaults you are a member of.

5.2 Deletion of a Vault by Admin

A vault admin may choose to delete a vault. This action is permanent and will delete all associated data for that vault, including contributions and member lists.

5.3 Automatic Deletion of Orphaned Vaults

If all administrators of a vault leave or delete their accounts, the vault becomes "orphaned." The remaining members will be notified and will have a grace period of two (2) days to claim the admin role. If no member claims the admin role within this period, the vault and all its associated data will be automatically and permanently deleted from our system. This policy is in place to maintain data hygiene and prevent abandoned vaults from accumulating on the platform. Tanda Inc. is not liable for any data loss resulting from this automated process.

5.4 Deletion by Super Administrator

A super administrator may schedule your account for deletion. In such cases, you will be notified, and your account will be permanently deleted after a six (6) day grace period unless you appeal the decision. A super administrator also reserves the right to "force delete" an account for immediate, permanent removal in cases of severe violation of these Terms.

6. Data Portability & Subscription Plans

We believe you own your data. Users may download a comprehensive archive of their personal data from the "My Account" settings page before deleting their account. The ability to export individual vault contribution data is dependent on the vault's subscription plan.

  • Starter Plan: Vault data can be exported once every 24 hours.
  • Paid Plans (Starter+, Growth, Pro, Enterprise): Vault data can be exported an unlimited number of times.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Tanda Inc. and its licensors. The Service is protected by copyright, trademark, and other laws.

8. Limitation Of Liability

In no event shall Tanda, nor its directors, employees, partners, agents, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which the company is established, without regard to its conflict of law provisions.

10. Changes to This Agreement

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
